Scope of Work (SOW): Drafting of Agreements

Objective:

The objective of this scope of work is to provide professional legal and business consulting services in drafting, reviewing, and finalizing various business agreements. These may include but are not limited to:

  • Partnership Agreements
  • Non-Disclosure Agreements (NDAs)
  • Service Agreements
  • Employment Contracts
  • Vendor/Supplier Contracts
  • Confidentiality Agreements
  • Consultancy Agreements
  • Shareholder Agreements
  • Intellectual Property Agreements

The goal is to ensure that these agreements are clear, legally binding, and aligned with the client’s business objectives, protecting their interests and complying with relevant laws.

Scope of Services:

    1. Initial Consultation and Needs Assessment
    • Client Consultation: Conduct an in-depth consultation with the client to understand their specific needs, business model, and key requirements for the agreements.
    • Legal and Business Analysis: Assess the legal and business implications of each agreement based on the client’s operations and objectives.
    • Customization of Agreement Templates: Provide customized solutions tailored to the client’s industry, size, and operational scope.
    1. Drafting of Agreements
    • Research & Legal Framework: Research applicable local, state, and national laws to ensure that all drafted agreements are legally sound.
    • Agreement Drafting: Draft each agreement according to the client’s specifications, ensuring that the language is clear, unambiguous, and aligns with business goals.
      • Terms & Conditions: Define the key terms, rights, and responsibilities for all parties involved.
      • Dispute Resolution: Include appropriate clauses regarding dispute resolution, including jurisdiction, arbitration, or mediation procedures.
      • Confidentiality & IP Protection: Incorporate confidentiality and intellectual property clauses as necessary to protect proprietary information.
      • Termination & Renewal: Address conditions of termination, renewal, and modification of the agreement.
      • Compliance: Ensure that all drafted documents comply with industry standards and applicable legal regulations.
    1. Review and Revision
    • Internal Review: Conduct an internal review of the draft agreements by legal experts within the consulting firm.
    • Client Feedback: Provide the drafts to the client for feedback and comments. Incorporate client revisions to ensure the document fully meets their expectations.
    • External Legal Review (if needed): In certain cases, the draft agreements may be reviewed by external legal experts, particularly for complex or high-risk agreements.
    1. Finalization and Execution
    • Final Draft Preparation: Incorporate all revisions and finalize the draft.
    • Execution Support: Assist the client in the signing process, whether physical or electronic, ensuring that all legal formalities are followed.
    • Document Filing and Record Keeping: Provide guidance on filing and storing the executed agreements for future reference.
    1. Ongoing Support (Optional)
    • Amendments & Updates: Provide support for any required amendments or updates to the agreements in response to changing legal or business circumstances.
    • Dispute Assistance: If a dispute arises under the terms of the agreement, provide consulting services related to resolving the issue.
    • Contract Renewal Support: Assist with the renewal process or renegotiation of terms when necessary.

Deliverables:

  • Drafted and finalized versions of the agreements based on client needs.
  • A comprehensive report outlining the key terms and conditions of each agreement.
  • Digital copies of the finalized documents (PDF).
  • Signed and executed agreements (where applicable).

Timeline:

  • Phase 1 – Initial Consultation and Agreement Assessment
  • Phase 2 – Drafting of Agreements
  • Phase 3 – Review and Revisions
  • Phase 4 – Finalization and Execution

Assumptions:

  • The client will provide necessary information and access to relevant stakeholders to facilitate the drafting process.
  • The client will review drafts promptly and provide feedback within the agreed-upon timeframe.
  • External legal review (if required) will incur additional costs and time.

Exclusions:

  • The scope does not include legal representation in case of disputes, unless separately agreed upon.
  • The scope excludes court filings, patent, and trademark registrations, or other legal procedures beyond the drafting of agreements.

Pricing and Payment Terms:

  • Payment Terms: 100% advance on confirmation.

Terms and Conditions:

  • Confidentiality: Both parties agree to maintain confidentiality regarding all shared information and business-sensitive details.
  • Liability: Rahman Consultancy Firm will provide consulting services in good faith, but is not liable for damages arising from disputes or the use of the agreements after they are executed.
  • Termination: Either party may terminate the engagement upon written notice. Any work completed up to the point of termination will be billed accordingly.

This Scope of Work (SOW) ensures that both parties understand the tasks, responsibilities, and expectations related to drafting and finalizing agreements. It is designed to protect the client’s business interests while ensuring compliance with relevant legal standards.
